These terms apply when you use HeraHaven (the “website”) and any related software applications or websites (collectively, “Technologies”), including personal non-commercial use of our services. By accepting these terms or using the services, you form a contract with us.
Our Privacy Notice explains how we collect and further process personal information. Although it does not form part of these Terms, it is an important document that you should read.
HeraHaven is an online chat application that uses artificial intelligence algorithms to generate virtual and fictional characters (the “AI Girlfriends & AI Boyfriends”). The website generates messages, so that you can chat with the AI Girlfriends & AI Boyfriends. The website can also generate medias including, but not limited to, images, videos and voice notes (the “Services”). Parts of the Services offered by the website may require you to create a user account.
HeraHaven is provided by the Company Vilala Limited with company number 61 Agiou Pavlou, Nicosia 1107, Cyprus, which is based at 61 Agiou Pavlou, Nicosia 1107, Cyprus.
Article 1. Registration and access
Minimum age. You must be at least 18 years old to use the Services.
Registration. Provide accurate and complete information when registering. Do not share your account details. If using services on behalf of someone else, ensure you have their authorization.
Article 2. Using our Services
Allowed Uses: You can use our services if you comply with these terms and all applicable laws.
Prohibited Uses: Do not use the services for illegal, harmful, or abusive activities. This includes infringing on others' rights, modifying or distributing our services, attempting to reverse engineer the services, extracting data automatically, misrepresenting output as human-generated, interfering with our services, or using output to develop competing models. Our services may include third party software, products, or services, (“Third Party Services”) and some parts of our Services, like our browse feature, may include output from those services (“Third Party Output”). Article 3. Content
Your content. You will generate your own AI character (both physical and personality characteristics) using our algorithms. You can then start a conversation with your selected character(s). You are responsible for Input, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licences, and permissions needed to provide Input to our Services.
Ownership of content. AI characters, platform design, logos, and any proprietary software or technology, are the sole property of HeraHaven or its licensors. Users are prohibited from reproducing, modifying, distributing, or using any intellectual property without explicit authorization. Any unauthorized use may result in legal consequences.
Similarity of content. Due to the nature of our Services and artificial intelligence generally, Output may not be unique and other users may receive similar output from our Services. Our assignment above does not extend to other users’ output or any Third Party Output.
Our use of content. We can use your Content worldwide to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies and keep our Services safe. If you don't want your content used for model training, opt out by emailing [email protected]. Note this may limit service functionality.
Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may in some situations result in Output that does not accurately reflect real people, places, or facts.

Article 4. Intellectual Property Rights
HeraHaven and its affiliates own all rights to the services.
Article 5. Subscription
Paid subscriptions. Some features allow you to purchase paid subscriptions with details provided before purchase. Manage subscriptions in your account settings.
Fees: All charges, including subscription fees, will be made clear to you before purchase.
Billing.: Ensure your billing information is accurate. Subscriptions renew automatically until canceled. We may use payment services outside Cyprus to process your payments If your payment cannot be completed, we may downgrade your account or suspend your access to our Services until payment is received.
Subscription. We retain the right, at our sole discretion, to provide some Services, which will be available only for paid subscribers. The subscription will begin after the initial payment and the payment should be performed pursuant to the fee terms as presented on our website at the time of the purchase. You are responsible for payment of all fees, charges and taxes (if required by law) related to the transaction. Please note that if you subscribed to the Services from a distribution platform from a third party which is not indicated or recognized by us, we are not responsible for any costs or liability arising from your action.
EEA consumer withdrawal right. If you are an EEA-based consumer, you can close your account and withdraw from these Terms within 14 days of accepting them by sending an email at [email protected].
Cancellation. You can cancel your paid subscription at any time by updating your account settings. You will not be charged after you cancel your paid subscription. You will continue to have access to the Service until the end of the subscription period you have paid for, at which point your cancellation will become effective. Unless we specify otherwise, you will not receive a refund or service credit for any days between the day you cancel and the last day of the subscription period you have paid for.
Changes. We may change our prices from time to time. If we increase our subscription prices, we will give you at least 30 days’ notice and any price increase will take effect on your next renewal so that you can cancel if you do not agree to the price increase.
Termination and suspension
Your rights. You can stop using our Services and end your relationship with HeraHaven at any time by simply closing your account and stopping your use of the Services. Instructions for how to do this are available in the settings tab of your account.
HeraHaven rights. We may suspend or terminate your access for violations of these terms, legal compliance, or if your use poses a risk. Inactive accounts without a paid subscription may also be terminated.
Notice. If we terminate your account, we will make reasonable efforts to notify you in advance so you can export your Content or your data from the Services, unless it is not appropriate for us to do so, we reasonably believe that continued access to your account will cause damage to HeraHaven or anyone else, or we are legally prohibited from doing so.
Appeals. If you believe we have suspended or terminated your account in error, please send an email at [email protected] .
Article 6. Our obligations
How we provide the Services. We commit to provide the Services to you with reasonable skill and care and to act with professional diligence. We do not promise to offer the Services forever or in their current form for any particular period.
Liability. Provided that we have acted with professional diligence, we do not take responsibility for loss or damage caused by us, unless it is:

EEA consumer alternative dispute resolution. If you reside in the EEA, you can also raise the dispute with an alternative dispute resolution body via the European Commission’s Online Dispute Resolution (ODR) Platform, which you can access at EU ODR.

Assignment. You may not assign or transfer any rights or obligations under these Terms. We may assign or transfer our rights or obligations under these Terms to any affiliate or subsidiary or any successor in interest of any business associated with our Services. Governing law. The Cypriotic law will govern these Terms and all claims arising out of or relating to these Terms will be brought exclusively in the courts of Cyprus.
